1. Acceptance
These terms govern the use of norviapr.com and the applications of Norvia (“Norvia”), including Norvia Yard on web and Android (the “Services”). By using the Services you accept these terms. If you use them on behalf of a company, you represent that you have authority to accept them for it.
2. Agreement with your company
If your company signed an agreement, order form or accepted proposal with Norvia, that document prevails over these terms where they differ.
3. The Services
Norvia provides subscription software for operations: yard and container management, inventory, daily management and other tools. We may improve, change or retire features; if a change materially reduces a paid Service, we will give reasonable advance notice.
4. Accounts and access
- Your company creates and manages its users' accounts and is responsible for who has access.
- Your credentials are personal. Do not share them, and tell us right away if you suspect unauthorized access.
- You are responsible for activity under your account.
5. Acceptable use
You may not:
- Use the app while driving. Interact with the app only when the vehicle is stopped and it is safe, following traffic laws and yard safety rules.
- Try to access other companies' data or parts of the system you are not authorized to use.
- Run security tests, scans or load tests without Norvia's written authorization.
- Copy, decompile or reverse engineer the software, except as the law allows.
- Upload malicious code or false, unlawful or infringing content.
- Resell or give third parties access to the Services without authorization.
6. Client data
Data your company records in the Services belongs to your company. It authorizes us to process it only to provide, maintain, protect and support the Services, as described in our Privacy Policy.
We may use aggregated, de-identified information that does not reveal your company or any person to improve our products.
7. Calculations and reports
The Services calculate dwell time, free time, alerts and indicators from recorded data and the rules your company configures. These results are reference tools for management: their accuracy depends on the data entered, and they do not replace official invoices, contracts or rates from carriers, truckers or other third parties.
8. Intellectual property
Norvia keeps all rights to the software, design, trademarks and documentation. While your company keeps the service, we grant you a limited, non-exclusive, non-transferable license to use the Services for its internal operations. If you send us suggestions, we may use them without obligation.
9. Fees
Fees, payment terms and applicable taxes are set in your company's proposal or order form. We may suspend access for overdue payments after reasonable notice.
10. Availability and support
We make commercially reasonable efforts to keep the Services available. There may be interruptions for scheduled maintenance, which we try to perform outside the client's operating hours, or for causes beyond our control. Specific service levels, if any, are set in the agreement.
11. Trial versions
Pilot, trial or “beta” versions are provided as is, may contain errors and may change or end at any time.
12. Warranties
Except as stated in your company's agreement, the Services are provided “as is” and “as available”. To the extent permitted by law, Norvia disclaims implied warranties of merchantability, fitness for a particular purpose and uninterrupted operation.
13. Limitation of liability
To the extent permitted by law, Norvia is not liable for indirect, incidental, special or consequential damages, or for lost profits, data or business. Norvia's total liability for any claim related to the Services will not exceed what your company paid for the Services in the twelve (12) months before the claim.
14. Indemnification
Your company agrees to defend and indemnify Norvia against third-party claims arising from use of the Services in breach of these terms or the law, or from data your company uploads.
15. Suspension and termination
We may suspend an account that breaches these terms or puts the security of the Services at risk. When the service ends, your company may request an export of its data within 30 days; after that we will delete it as described in the Privacy Policy.
16. Governing law
These terms are governed by the laws of the Commonwealth of Puerto Rico and applicable United States federal law. Any dispute will be heard in the courts of Puerto Rico or the United States District Court for the District of Puerto Rico.
17. Changes
We may update these terms. We will post the new version on this page with its effective date. If the change is significant, we will give reasonable advance notice.
